Terms of Service

1. Acceptance of Terms

By accessing and using Coffee360 ("Coffee360," "we," "us," "the Service") — a product of ExecutorPlus Inc., dba Kinship360, a Delaware corporation, operated in the United States — you accept and agree to be bound by the terms and provisions of this agreement. The Service is intended for users in the United States only and is not directed to or offered to users in the EU/EEA or UK. Additionally, when using the Service, you shall be subject to any posted guidelines or rules applicable to such services. Coffee360 is a Kinship360 service.

2. Eligibility

You must be a resident of the United States and at least 18 years old to create an account or use the Service. By using the Service, you represent that you meet these requirements.

3. Description of Service

Coffee360 is a platform that enables group coffee ordering. Users can:

• Create and manage group coffee orders
• Share order links via SMS or WhatsApp
• Track orders in real-time
• Share coffee preferences with other users

4. User Accounts

To use certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account and password
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

5. Membership Plans

Coffee360 offers paid membership plans that let you share preferences with your network and unlock other member features. Current annual pricing is Three-pack (3 seats) $18.99/yr, Six-pack (6 seats) $24.99/yr, and Founding six-pack (6 seats) $19.99/yr (available to the first 100 families, rate locked permanently). By subscribing:

• You agree to pay the subscription fee
• Subscription auto-renews annually unless cancelled
• You can cancel at any time through your account settings
• Refunds are available within 30 days of purchase

6. User Conduct

You agree not to use the Service to:

• Upload or transmit any content that is unlawful, harmful, or offensive
• Impersonate any person or entity
• Engage in any activity that could harm or overburden the Service
• Violate any applicable laws or regulations
• Harvest or collect email addresses or contact information

7. Payments — Not a Payment Processor or Money Transmitter

Coffee360 is not a payment processor or money transmitter. The Service never holds, transmits, or processes funds. It provides itemized totals and reminders, and it can open third-party payment apps (such as Venmo, Cash App, or PayPal) by link — users settle directly with each other, or pay the vendor directly, outside the Service. Any payment you make through a third-party app is governed by that app's terms. Coffee360 is not a party to, and is not responsible for, payment disputes between users or with vendors.

8. Text Messages (SMS)

If you use a phone number with the Service, you consent to receive transactional text messages from us — one-time sign-in codes and reminders about runs you're part of. These are not marketing messages. Reply STOP to any message to opt out of texts at any time. Message and data rates may apply.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Coffee360 and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

10. Limitation of Liability

In no event shall Coffee360 be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Coffee360 makes no warranties, expressed or implied, regarding the reliability, accuracy, or completeness of the Service. Your use of the Service is at your sole risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless Coffee360 and its officers, directors, employees, agents from and against any claims, liabilities, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

14. Governing Law and Venue

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute not subject to arbitration under Section 15 shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

15. Dispute Resolution — Binding Arbitration and Class Action Waiver

Please read this section carefully — it affects your legal rights. You and Coffee360 agree that any dispute or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court. There is no judge or jury in arbitration. You and Coffee360 each waive the right to a jury trial and to participate in a class action, class arbitration, or other representative proceeding.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing privacy@coffee360.org with your name and the phone number or email on your account. Opting out does not affect any other part of these Terms.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes. Your continued use of the Service after any such changes constitutes acceptance of the new Terms.
